Why is there confusion around the election process?
The governing authorities place the transition at the annual meeting. Directors are elected there, take office upon election, and the newly constituted board meets immediately afterward. There is no later “seating” date.
This is the process for a properly conducted meeting and transition. Any prior transition that did not follow this process was conducted improperly; past practice does not override the published rules.
Before the meeting, the Association’s attorney provided Associa, the board, and other homeowners with a statement confirming that sequence. The confusion arose when the prior board published a position contradicting its attorney’s statement, followed by the attorney taking a conflicting position at the meeting.
